ok this is weeeiird (and maybe a little spooky)
I can upload files through fileman, they arrive but are zero length. It doesn't matter which directory I upload them to or the file permissions of that directory.
Oh, there's some other stuff somebody might want to know (or not) . . . the 500 errors may be about whether your file is in unix format or not . . . make sure it is.
And about fileman existing in directories other than cgi-bin . . . it can exist in a subdirectory of cgi-bin and in that way allow .htaccess and .htpasswd to exist in the directory without screwing up access to other cgi-bin files.
Anyway, if anyone has a solution to the "spooky" problem let me know!
